CONTRACT OF LIMITED REPRESENTATION

A General Limited Retainer Agreement for Maix Legal

This sample illustrates an agreement between the individual identified in the executed in-App contract (“Client” or “You”) and Lomax Law Firm, P.A., the owner and operator of the Maix Legal App (“Lomax Law Firm,” “Law Firm,” or “Firm”).

Under an executed in-App version, Client retains the Firm for the limited legal services described below and gives informed consent to the reasonable limitations on the representation. The executed contract creates a general limited attorney-client relationship only within its stated scope. It does not establish representation for any specific legal matter.

IMPORTANT DEFINITIONS

For purposes of the contract:

  • “App” or “Maix” means the Maix Legal mobile application and related Firm-operated services.

  • “App Client” means a Client who creates a Maix account and accepts the operative in-App Contract of Limited Representation.

  • “Maix Chat” means the Firm-operated, AI-assisted legal-preparation service within the App.

  • “Attorney Request” means a request submitted through the App asking a licensed attorney to review information concerning a potential legal matter or possible representation.

  • “Matter” means a specific legal claim, case, injury, dispute, application, or other legal issue for which representation may be requested.

  • “Class Action” is a simplified, consumer-friendly term used in Maix for matters involving claims arising from the same or similar conduct, product, event, or injury. Depending on the context, it may include a class action, multidistrict litigation, mass tort, consolidated litigation, personal-injury or wrongful-death claim, individual lawsuit or claim, bankruptcy claim, or another similar legal proceeding. Use of this term does not mean that a matter has been or will be certified as a class action or that any particular procedure will apply.

  • “Watch” or “Watchlist” means the App’s separate informational and trend-reporting feature. Watch and Watchlist submissions are not Maix Chats, Applications, or Attorney Requests unless the App expressly permits Client to submit the information through the applicable legal-preparation or attorney-request process.

1. NATURE AND SCOPE OF THE LIMITED REPRESENTATION

The executed in-App contract provides that Client retains the Firm only for the limited legal services identified below. Within that limited representation, the Firm will use Maix to:

  • provide information and updates concerning current and potential Class Actions, legal developments, claim criteria, and other litigation-related subjects;

  • provide Maix Chat as a Firm-directed legal-preparation service;

  • help Client describe potential legal issues and organize relevant facts, questions, documents, and other materials;

  • preserve Maix Chat conversations and related materials in a confidential legal-preparation file associated with Client’s account;

  • help Client prepare an Attorney Request for possible review by a licensed attorney;

  • provide access to Applications and other processes through which Client may request representation for a specific Matter; and

  • facilitate authorized communications with the Firm or, at Client’s request, a participating attorney.

This limited representation is subject to the rules of professional conduct and other law governing the lawyers and legal services involved in the relevant jurisdiction. For services governed by Mississippi law and professional-conduct rules, the limitation is made specifically in accordance with Rule 1.2(c) of the Mississippi Rules of Professional Conduct. Rule 1.2(c) of the ABA Model Rules of Professional Conduct and corresponding rules adopted in many other United States jurisdictions similarly permit a lawyer to limit the scope of representation when the limitation is reasonable under the circumstances and the client gives informed consent.

The Firm and Client agree in the executed contract that this limited scope is reasonable because Maix provides defined legal-preparation, communication, and information services while preserving Client’s freedom to seek separate counsel for any specific Matter.

The availability and permissible scope of limited representation may vary by jurisdiction. Nothing in the operative contract authorizes the Firm or any attorney to practice law where not licensed or otherwise authorized. If the professional-conduct rules or law applicable to particular services require an additional disclosure, form of consent, written confirmation, or other protection, those requirements will control, and the Firm may supplement or limit the services accordingly.

The limited contract does not require the Firm to:

  • represent Client for every legal issue Client describes;

  • provide personalized legal advice through an unreviewed AI response;

  • have an attorney monitor or contemporaneously review every Maix Chat;

  • investigate or identify every possible claim, defendant, legal theory, jurisdiction, or deadline;

  • file a claim, lawsuit, notice, appeal, or other document;

  • accept representation for a specific Matter; or

  • provide services outside the express scope of the executed contract.

Client remains free to consult or retain another attorney concerning a Matter the Firm has not separately accepted.

2. FIRM-DIRECTED AI LEGAL PREPARATION

Every Maix Chat is intended solely for legal preparation and communication connected with the limited legal services described in the executed contract. Maix Chat is not offered for unrelated or general-purpose AI inquiries.

The Firm selects, configures, authorizes, and directs Maix and its authorized technology providers as tools to assist the Firm in providing the limited legal services. Their assigned function is to facilitate communication between Client and the Firm and to help the Firm receive, organize, preserve, summarize, and understand information that may be necessary or highly useful to legal consultation, legal preparation, an Attorney Request, or the evaluation of a potential Matter.

Maix and its technology providers are not engaged to provide Client with independent business advice, general-purpose AI services, or legal advice separate from the Firm. They assist the Firm’s legal-service and communication functions under Firm-established instructions, controls, contractual arrangements, and supervision appropriate to their roles.

Under the executed contract, Client agrees to use Maix Chat with the purpose and intent of communicating confidentially with the Firm, obtaining the limited legal services, organizing a potential legal Matter, or preparing an Attorney Request for possible attorney review.

The Firm may restrict, redirect, or end a Maix Chat that is unrelated to legal preparation, violates the operative contract or App Terms, or attempts to evade the App’s legal-purpose or security controls.

3. AI DISCLOSURE, RISKS, BENEFITS, AND CLIENT CONSENT

Nature of the technology

Maix uses generative artificial-intelligence technology to produce responses. Maix is not a licensed attorney and cannot exercise a lawyer’s independent professional judgment.

Unless the App expressly tells Client that particular content has been reviewed or approved by a licensed attorney:

  • Maix responses are generated by AI;

  • Maix responses have not been reviewed by an attorney;

  • Maix responses are not personalized legal advice;

  • Maix responses may be incomplete, outdated, inaccurate, biased, or inappropriate for Client’s circumstances; and

  • Client should not rely on Maix as a substitute for communicating directly with a licensed attorney.

Intended benefits

The intended benefits of Maix Chat include providing an accessible way for Client to describe events, identify and organize potentially relevant information, preserve a legal-preparation history, better understand questions or legal concepts in plain language, and prepare information for an Attorney Request.

Provider processing

To operate Maix Chat, the Firm currently uses the OpenAI API through a Firm-controlled backend, together with Firm-controlled storage, security, and cloud services. The portions of Client’s conversation and related instructions reasonably needed to generate a response may be transmitted to and processed by the authorized AI provider.

The Firm does not use a consumer ChatGPT account for Maix Chat. The Firm maintains and controls the applicable provider integration. The Firm does not authorize Maix Chat content to be used to train public or general-purpose AI models and does not opt in to provider training with Maix Chat content.

Authorized providers may temporarily process information in readable form when technically necessary to perform the service and may maintain limited service, safety, abuse-monitoring, security, or legally required records under their agreements and the Firm’s configured data controls.

Risks

AI use presents risks, including inaccurate or misleading output, overreliance on automated responses, interruption or unavailability, unauthorized access or disclosure despite reasonable safeguards, provider processing of confidential information, and uncertainty concerning how courts may apply attorney-client privilege or other protections to AI-assisted communications.

Alternatives and consent

Client is not required to use Maix Chat to contact the Firm. Client may stop using Maix Chat and contact the Firm through another available method, although declining Maix Chat may prevent use of AI-assisted features.

In the operative in-App contract, Client is asked to review the nature, purpose, intended benefits, risks, provider processing, and available alternative before giving informed consent for the Firm to use Maix and authorized technology providers.

4. ATTORNEY REQUESTS AND REPRESENTATION FOR A SPECIFIC MATTER

Maix Chat conversations and related materials may be used to help Client prepare an Attorney Request. When Client affirmatively submits an Attorney Request, the App routes the request and the information included with it for Firm review.

Submitting an Attorney Request, Application, information, document, or signature does not by itself require the Firm or another attorney to accept a specific Matter.

Representation for a specific Matter begins only when all requirements established by the applicable process have been satisfied, which may include:

  1. Client requests representation for the specific Matter;

  2. Client provides requested information and documents;

  3. the Firm completes its review, including any required eligibility, jurisdictional, and conflict review;

  4. Client completes any required separate Contract of Representation;

  5. the Firm accepts the Matter; and

  6. the Firm confirms acceptance to Client through the App or another authorized communication method.

Until that process is completed, the representation remains limited to the general services stated in the executed limited contract and does not obligate the Firm to take action concerning the specific Matter.

5. CLIENT RESPONSIBILITIES, DEADLINES, AND NO GUARANTEE

The operative in-App contract requires Client to:

  • provide complete and accurate information to the best of Client’s knowledge;

  • correct material errors or omissions when discovered;

  • provide requested documents, information, updates, and communications through the App or another method approved by the Firm;

  • protect Client’s account, devices, and login credentials;

  • use Maix only for lawful purposes within the scope of the App Terms; and

  • complete the applicable Attorney Request, Application, agreement, and acceptance process for any specific Matter Client wants the Firm to consider.

Using Maix, creating or continuing a Maix Chat, saving information, joining a Watchlist, submitting a Watch report, beginning or completing an Application, submitting an Attorney Request, or waiting for a response does not extend or suspend any statute of limitations, filing deadline, notice period, appeal deadline, or other legal deadline.

The Firm requires time to review submitted information and does not promise a response within a particular period unless it expressly agrees otherwise. If a matter may be urgent or time sensitive, Client must promptly contact a licensed attorney directly and must not rely solely on the App or wait for an App response.

The limited contract does not guarantee that the Firm will identify or accept a Matter or that Client will obtain a filing, certification, settlement, compensation, recovery, or other result.

6. FEES AND EXPENSES

There are no monetary attorneys’ fees or litigation expenses owed under the general Limited Contract of Representation. Data or messaging rates imposed by Client’s providers may apply.

A separate Contract of Representation for a specific Matter may contain a contingent-fee agreement and provisions concerning litigation costs, expenses, and reimbursement of Medicare, Medicaid, Veterans/Tricare, or private medical or health-insurance liens. The percentage, calculation, costs, and other financial provisions stated in that separate agreement will control the specific Matter.

The ordinary cost of operating Maix and the AI services described in the general contract is treated as Firm overhead and is not separately charged to Client under that contract.

7. CONFIDENTIALITY, FIRM ASSISTANTS, AND PRIVILEGE

The Firm treats information Client provides through Maix Chat as confidential information relating to the limited representation. The Firm handles that information in accordance with the rules of professional conduct and other law governing lawyer confidentiality in the relevant jurisdiction, as well as the operative contract and the Privacy Policy. When Mississippi professional-conduct rules apply, those duties include Rule 1.6 of the Mississippi Rules of Professional Conduct. Rule 1.6 of the ABA Model Rules of Professional Conduct and corresponding rules adopted in other United States jurisdictions impose similar duties concerning information relating to a client representation.

The Firm engages authorized technology providers to assist it in facilitating confidential Client communications and performing the legal-preparation functions described above. The Firm requires those providers to process information under applicable contractual confidentiality, privacy, data-use, and security requirements.

Under the operative contract, Client intends Maix Chat communications to be confidential and made for the purpose of facilitating legal services from the Firm. Client understands that voluntarily sharing a communication with an unnecessary third party, posting it publicly, or using Maix outside its Firm-directed legal-preparation purpose may affect whether a legal protection applies.

The Firm’s confidential treatment of a communication is not a representation, warranty, or guarantee that a court or other authority will recognize attorney-client privilege, work-product protection, or another legal protection in every jurisdiction or circumstance. Those protections may depend on the communication’s actual purpose and content, the persons involved, the Firm’s participation and direction, subsequent disclosure, and applicable law.

Direct communication with an attorney and express attorney review may provide different or additional legal protections depending on the circumstances.

8. CONFIDENTIAL LEGAL-PREPARATION FILE AND RECORD RETENTION

Maix Chat conversations and related materials are stored in a confidential legal-preparation file associated with Client’s account. The file is maintained so Client may continue organizing a potential Matter and, when ready, use relevant information to prepare or submit an Attorney Request.

The Firm uses reasonable administrative, technical, contractual, and security safeguards designed to protect Client information. Protected Client data, including stored Maix Chat records, is secured using the Firm’s server-side envelope-encryption architecture and related access controls. Information may be decrypted or otherwise processed in readable form by authorized systems or persons when reasonably necessary to provide the service.

Saving information in Client’s file does not mean that an attorney has reviewed it. The App identifies when attorney review has been requested and when, if applicable, particular information has been reviewed by an attorney.

Client materials may be retained for periods reasonably required by law, professional obligations, Firm policy, legal holds, security needs, the establishment or defense of legal rights, or other legitimate legal purposes. Records may later be deleted, destroyed, de-identified, or aggregated in accordance with the Privacy Policy and applicable obligations.

No system can guarantee absolute security. Client should not submit passwords, complete Social Security numbers, complete financial-account numbers, or unnecessary identifiers unless specifically requested through an appropriate secure process.

9. WATCH AND WATCHLIST FEATURES

Watch and Watchlist features are separate from Maix Chat. They allow Client to follow emerging issues and may allow Client to submit reports that help the Firm identify patterns across multiple experiences.

Unless the App expressly states otherwise for a particular workflow:

  • a Watch or Watchlist submission is informational and is not a Maix Chat, Application, or Attorney Request;

  • the submission does not create representation for a specific Matter;

  • the Firm may review, de-identify, combine, or aggregate submissions to identify trends and potential patterns;

  • a Watch or Watchlist submission, standing alone, does not create an undertaking by the Firm to investigate or pursue an individual claim or to provide an individual response; and

  • the Firm may contact Client if it determines that additional information or a separate legal-preparation process may be appropriate. Client should not rely on receiving such contact and remains responsible for protecting applicable deadlines and seeking counsel for any Matter the Firm has not separately accepted.

Client should not include unnecessary personal identifiers or highly sensitive information in a Watch or Watchlist submission.

10. ATTORNEY COMMUNICATIONS AND INDEPENDENT ATTORNEYS

The App may allow Client to communicate with a Lomax Law Firm attorney or request a connection with an independent attorney. Communications made for the purpose of seeking legal advice or representation will be treated as confidential, subject to applicable law.

An attorney connection or conversation does not by itself establish representation for a specific Matter. The attorney or firm must separately accept the Matter through the applicable process.

An independent attorney made available through the App may not be an employee or agent of Lomax Law Firm. Unless Lomax Law Firm separately agrees to represent Client for the Matter, the Firm does not control the independent attorney’s professional judgment and is not responsible for that attorney’s professional services.

Where permitted, an independent attorney may pay a fixed platform-access or service fee. Any such arrangement will not control the attorney’s professional judgment and is not deducted from Client’s recovery unless an applicable representation agreement expressly and lawfully provides otherwise.

No attorney is guaranteed to be immediately available through the App.

11. ELIGIBILITY AND JURISDICTIONAL LIMITS

The operative contract requires Client to be at least 18 years old and legally competent to enter into the agreement. If Client acts for a minor, an incapacitated person, or another individual, Client must have legal authority to do so.

The Firm’s ability to provide legal representation is limited to jurisdictions where its attorneys are licensed or otherwise permitted to practice. Availability of the App in a state does not mean that the Firm offers or has accepted representation for a specific Matter in that state.

The general contract excludes representation in criminal, domestic-relations, tax, immigration, and other Matters not expressly included within the limited scope or separately accepted by the Firm.

12. AUTHORITY OF THE FIRM AND COMMUNICATIONS

The operative contract authorizes the Firm to:

  • provide the limited legal services described in the contract;

  • operate Maix Chat through Firm-controlled systems and authorized technology providers;

  • organize and maintain Client’s confidential legal-preparation file;

  • process an Attorney Request or Application affirmatively submitted by Client;

  • review Watch and Watchlist submissions for trend and pattern analysis;

  • provide Class Action information, legal updates, claim criteria, and App notices; and

  • facilitate an attorney connection at Client’s request.

The operative contract also addresses transactional, account, security, legal-workflow, and Matter-related communications through the App and the contact methods Client provides, subject to applicable law and Client’s communication settings.

Text messages and ordinary email may not be encrypted. The Firm uses an appropriate secure method when the nature of the information requires it. Message and data rates may apply.

Consent to marketing or promotional communications is obtained and managed separately where required by law.

13. TERMINATION OF THE GENERAL LIMITED REPRESENTATION

Client may terminate the general limited representation by closing Client’s Maix account or providing written notice to the Firm through an authorized contact method. Merely deleting the App from a device does not notify the Firm and does not by itself close the account.

Terminating the general contract does not automatically terminate representation for a specific Matter already accepted under a separate Contract of Representation. If Client has an active Matter, withdrawal, transfer, or termination must be handled separately under the applicable agreement, law, court rules, and professional obligations.

The Firm may terminate the general limited representation if Client materially violates the contract or App Terms, misuses the App, threatens the security or rights of another person, or if the App or relevant services are discontinued. The Firm will provide any notice or take any protective step required by applicable professional obligations.

Termination ends future services under the general contract but does not eliminate applicable confidentiality, record-retention, dispute, or other provisions that reasonably survive termination.

14. APP TERMS AND PRIVACY POLICY

The operative Contract of Limited Representation works together with the Maix App Terms and Conditions and Maix Privacy Policy, available through the App and at https://www.thelomaxlawfirm.com/terms and https://www.thelomaxlawfirm.com/privacy-policy.

The App Terms govern ordinary App access, licensing, and acceptable use. The Privacy Policy describes the Firm’s information practices. The executed Contract of Limited Representation controls the scope of the general limited attorney-client relationship.

If Client later enters into a separate Contract of Representation for a specific Matter, that separate agreement controls the representation for that Matter.

15. APP AVAILABILITY AND LIMITATION FOR APP OPERATION

The App, networks, providers, and AI systems may occasionally be interrupted, delayed, unavailable, or affected by errors. The Firm may update, modify, restrict, suspend, or discontinue App features.

To the extent permitted by applicable law, the Firm is not liable for damages arising solely from interruption, delay, unavailability, malfunction, unauthorized misuse, or inability to access the App.

Nothing in this provision disclaims or limits a professional duty, responsibility, remedy, or liability that cannot lawfully be disclaimed or limited.

16. GOVERNING LAW AND DISPUTES

The operative contract is governed by Mississippi law, except where applicable law requires otherwise.

Unless another enforceable agreement or applicable law provides otherwise, a legal proceeding concerning the general limited representation must be brought in a state or federal court with jurisdiction in Jackson County, Mississippi, and the parties consent to that jurisdiction and venue.

The general contract does not independently require binding arbitration. Arbitration applies only if the affected parties enter into a separate enforceable arbitration agreement governing the dispute.

17. CHANGES TO THE OPERATIVE CONTRACT

The Firm may update administrative, technological, security, provider, or App-related terms when reasonably necessary and will give reasonable notice of material changes through the App, email, text message, or another appropriate method.

Continued use after notice may constitute acceptance of administrative or App-related changes where permitted by law. A change that alters the scope of the limited attorney-client relationship or otherwise requires informed or affirmative consent takes effect only after the required consent is obtained.

A change to the general limited contract does not retroactively alter a separate Contract of Representation governing a specific Matter.
